Terms & Conditions

PeopleFeed HR Consultancy (hereafter referred to as “Consultant”) and the Client (the Company engaging our services) agree to the following terms for recruitment and related services:

1. Scope of Services

1.1 The Consultant shall assist the Client in identifying, screening, and presenting suitable candidates for specified positions as requested by the Client. Services may include executive search, direct placement, trade testing, skill assessment, and other recruitment-related support as agreed in the engagement.
1.2 Unless otherwise stipulated in a separate written agreement, these Terms apply to contingent search services and do not cover retainer-based or specialized search arrangements.

2. Engagement Start

2.1 The Consultant’s obligations begin once the Client provides a formal mandate or request in writing, detailing the requirements, job description, and selection criteria for the position(s).

3. Candidate Interest

3.1 The Consultant shall confirm with each candidate their interest in the role and in engaging with the Client.
3.2 The Consultant will disclose any potential conflicts of interest relating to any candidate or search and shall seek prior written consent from the Client if needed.

4. Confidentiality & Publicity

4.1 The Consultant shall keep all information received from the Client confidential and shall not disclose any such information to third parties except as necessary for fulfilling the recruitment mandate or as required by law.
4.2 The Consultant shall not use the Client’s name, logo, or any identifying details in promotional or marketing materials without prior written permission from the Client.

5. Accuracy of Information

5.1 The Consultant will use reasonable efforts to ensure that all candidate information—including qualifications, experience, and references—is accurate and up-to-date.
5.2 The Consultant makes no warranty as to the completeness or absolute accuracy of third-party-provided information.

6. Coordination & Communication

6.1 The Consultant will maintain regular communication with the Client’s designated point(s) of contact—such as HR or hiring managers—throughout the recruitment process to facilitate timely updates and efficient closure of the mandate.

7. Free Replacement Guarantee

7.1 If a selected candidate voluntarily resigns or is terminated for cause (excluding redundancies or layoffs) within six (6) months of joining, the Consultant shall provide a replacement at no additional fee.
7.2 This replacement guarantee is contingent upon the Client settling all outstanding payments promptly as per Section 9.

8. Non-Solicitation

8.1 During the term of engagement and for six (6) months thereafter, the Consultant shall not solicit, directly or indirectly, any existing employees of the Client for other employment opportunities without the Client’s written consent.

9. Fees & Payment Terms

9.1 The Client agrees to pay the Consultant’s fees based on the candidate’s gross annual compensation as follows:

  • Executive / Senior Management Positions: 12%

  • Mid-Level / Specialist Roles: 10%

  • Junior / Entry-Level Roles: 8%

9.2 All fees are subject to applicable taxes (e.g., GST) which shall be borne by the Client.
9.3 An invoice will be issued upon the candidate’s commencement of duty. The Client shall remit payment within 15 days of invoice date via cheque or bank transfer as specified on the invoice.
9.4 Any payment delays beyond the due date will attract an interest charge of 1.5% per month until full settlement.

10. Additional Services

10.1 Psychometric Assessments: Where requested, the Consultant may administer aptitude, personality, or skill assessments at an additional agreed fee.
10.2 Background Verification: The Consultant can arrange employment verification, education checks, criminal background checks, or reference validation for an additional service fee.
10.3 Training & Orientation: The Consultant may conduct pre-departure briefings, skill enhancement sessions, and workplace readiness training as mutually agreed.
10.4 Charges for these services will be communicated separately and are payable in advance.

11. Liabilities

11.1 The Consultant shall not be liable for any indirect, incidental, or consequential damages arising from the placement or performance of a candidate.
11.2 The Consultant disclaims responsibility for any misconduct, misrepresentation, or unsatisfactory performance by the candidate once employed. The Client retains sole discretion and responsibility for hiring decisions and any subsequent employment action.

12. Termination of Agreement

12.1 Either party may terminate the engagement by giving 30 days written notice to the other party.
12.2 Termination of this Agreement does not affect the Client’s obligation to pay fees for any placements in progress or complete, nor does it void the replacement guarantee where applicable.

13. Governing Law & Dispute Resolution

13.1 These Terms are governed by the laws of Mumbai, Maharashtra, India.
13.2 Any disputes arising under or relating to this Agreement shall be resolved amicably through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Mumbai, India.
